IndefeasibleRighttoUse（IRU）CapacityAgreement不可撤销使用权协议-

ThisIRUCapacityAgreement（theAgreement）isenteredintoasof_________,_________,_________（M,D,Y）（theEffectiveDate）betweenAAACorp.（AAA）,a_________（PLACENAME）corporationwithofficesat_________（ADDRESS）,andBBBCorporation（BBB）,a_________（PLACENAME）corporationwithitsprincipalplaceofbusinesslocatedat_________（ADDRESS）.

TERMSOFAGREEMENT

1.Definitions

1.1AcceptshallhavethedefinitionsetforthinthesectionentitledTestingandAcceptance.Acceptanceshallhavethecorrespondingmeaning.

1.2AdditionalCapacityshallmeananyCapacityacquiredbyBBBpursuanttothesectionentitledUpgradesandExpansion.

1.3AAANetworkshallmeanthefiberopticcommunicationssystemoperatedbyAAA,assuchsystemexistsnow,andasitismodifiedfromtimetotime.

1.4AAAPOPsshallmean（a）theAAAsitesidentifiedinExhibitEand（b）suchotherAAAsitesasthepartiesmayagreefromtimetotimetobewithinthescopeofthetermAAAPOP.

1.5BBBBackboneNetworkshallmean,atanydate,theBBBRoutesasofthatdate.

1.6BBBRoutesshallmeanRoutesonwhichBBBhasrightstousecapacityunderthisAgreement.

1.7CapacityshallmeantheInitialCapacityandtheAdditionalCapacity,includingboth（a）thecircuitcapacity,asmeasuredintermsofOC-3,OC-12,OC-48orotherwiseand（b）aportionoftherelevantfiberstrandsnecessarytotransportsuchcapacity.

1.8AirlineMileageshallmeanthedistancebetweentheAandZCityPairendpointsofaRoute,calculatedinaccordancewithAAA’sstandardmethodologyfordeterminingairlinemileagebetweentwoormorelocationswithrespecttoPrivateLineServices（seeAAATariffF.C.C.No.10,Section8.1.7.B）.AirlineMileshallhavethecorrespondingmeaning.

1.9CityPairshallmeananyofthepairsofcitieslistedinExhibitA,includinganypairsofcitiesforNewRoutesaddedbyexpansionpursuanttotheSectionentitledUpgradesandExpansions.

1.10ConsumerPriceIndexshallmeantheConsumerPriceIndexforUrbanWageEarnersandClericalWorkers,AllItems（1982-84=100）,fortheUnitedStatesaspublishedbytheUnitedStatesDepartmentofLabor,BureauofLaborStatistics,oranysuccessorindexthereto.

1.11Four-PortNetworkElectronicsshallmeanfourDenseWaveDivisionMultiplexingterminalportsintherelevantpointsofpresenceandtheproportionateshareoftheassociatedopticalamplifierssufficienttosupportfourOC-48sinalltheInitialRoutes.

1.12IndefeasibleRighttoUseorIRUshallmeantheexclusive,unrestrictedand（exceptinthecaseofaPaymentEventofDefault）indefeasiblerighttousetherelevantCapacity（includingequipment,fibersorcapacity）foranylegalpurpose.ThegrantingofsuchIRUdoesnotconveytitleorlegalownershipofanyfibersorequipmentontheAAANetwork.ExceptinthecaseofaPaymentEventofDefault（asdefinedbelow）,thegrantingpartyshallhavenorighttorevokeorrestrictinanymannerortoanydegreewhatsoever,throughinjunctiverelieforotherwise,theuseoftheRighttoUsegrantedtothereceivingparty.Notwithstandingtheoccurrenceofabreachbythereceivingpartyofanylegaldutyorobligationimposedbyanycontract,bythelawoftorts（includingsimpleorgrossnegligence,strictliabilityorwillfulmisconduct）,orbyfederalorstatelaws,rules,regulations,orders,standardsorordinances,duringtheTerm,itbeingunderstoodandagreedthateachsuchbreachshallbecompensable,ifatall,byaremedyatlawandnotatequity.

1.13MarketEquivalentCapacityshallmeananamountoftransmissioncapacity（asmeasuredinchannels,wavelengthsorotherappropriatemeasures）equalto（a）withrespecttotwo-fiberconfigurations,25%or（b）withrespecttofour-fiberconfigurations,12.5%,ineachcaseofthetotaltransmissioncapacitywhichitiscommerciallypracticaltosustainovertwoorfouropticfiberssoconfigured,respectively,utilizingequipmentatthattimeinuseintheRelevantArea（asdefinedbelow）byatleasttwoofthetenlargestinterexchangecarriersintheUnitedStates.InRoutesbetweentwoofthethirtylargestmetropolitanstatisticalareasintheUnitedStates（LargeMSAs）,theRelevantAreashallbeanyrouteintheUnitedStates;forRouteswhichdonotserviceaLargeMSA,theRelevantAreashallmeanarouteinthesamegeneralgeographicalareaastheRouteforwhichtheMarketEquivalentCapacityistobemeasured.

1.14MaterialProvisionshallmeananyprovisionofthisAgreement（including,withoutlimitation,paymentprovisions）thebreachofwhichbyonepartyisdeterminedbyajudicialproceedingorpursuanttotheSectionentitledArbitrationtoconstituteamaterialadverseeffectontheuseandenjoymentbytheotherpartyofthebenefitsofthisAgreement.

1.15OC-3shallmeanbi-directionalOC-3opticaltransmissioncapacitymeetingthespecificationssetforthinAAA’sTechnicalReference54018,asrevisedfromtimetotime.ForpurposesofthisAgreement,bi-directionalshallmeanthattrafficuptothedesignatedcapacitycantravelineachdirectionsimultaneously.

1.16OC-12shallmeanbi-directionalOC-12opticaltransmissioncapacitymeetingthespecificationssetforthinAAA’sTechnicalReference54077,asrevisedfromtimetotime.

1.17OC-48shallmeanbi-directionalOC-48opticaltransmissioncapacitymeetingthespecificationssetforthinAAA’sTechnicalReference54078,asrevisedfromtimetotime.

1.18RouteshallmeananyrouteontheAAANetworkbetweenanytwopointsofpresencelistedonExhibitAoranyotherAAApointsofpresencewhichsupportOC-48service.

1.19ThirdPartyPOPsshallmean（a）thethirdpartysitesidentifiedinExhibitGand（b）suchotherthirdpartysitesasthepartiesmayagreefromtimetotimetobewithinthescopeofthetermThirdPartyPOP.

1.20ServiceComponentsshallmean,withrespecttoanyRoute,thecapacity,collocationandinterconnectionservicesrelatingtosuchRoutetobeprovidedpursuanttothisAgreement.

2.ServiceComponents.

2.1IndefeasibleRighttoUse.AAAherebygrantstoBBBfortheTermofthisAgreementanIRU（asthattermisdefinedabove）intheCapacity,astheCapacitymaybeincreasedfromtimetotimepursuanttothetermshereof.

2.2CollocationandInterconnection.AAAshallprovideBBBwithcollocationspacealongtheBBBBackboneNetworkintheAAAPOPsunderanagreementsubstantiallyintheformattachedasExhibitF（CollocationAgreement）.IneachAAAPOP,AAAshallprovideBBBwiththreerackspaces（asusedinthisAgreement,rackspaceshallhavethemeaningsetforthinExhibitF）andassociatedcollocationandinterconnectionservices,aslistedinExhibitF,orashereaftermutuallyagreedupon.AAAshalluseitsbesteffortstomakethethreerackspacescontiguous.AAAshallprocureonbehalfofBBBonerackspaceintheThird-PartyPOPs.AspartoftheServicesprovidedhereunder,AAAwillextenditsfacilitiesatnocosttoBBBtotheBBBdesignateddemarcationpointwithintheThird-PartyPOPs.

2.3InitialCapacity.AAAshallprovideatnoadditionalcosttoBBBOC-48’s（includingtheFour-PortNetworkElectronics）ontheRouteslistedonExhibitA（theInitialRoutes）inthequantitieslistedinExhibitA,inaccordancewiththetermsofthisAgreementincludingExhibitB（TechnicalSpecifications）（theInitialCapacity）.TheInitialServiceComponentsshallincludetheInitialCapacityandcorrespondingcollocationandinterconnectionservicesassetforthintheSectionentitledCollocationandInterconnectionandExhibitF.AAAwillprovidetheInitialCapacitytoBBBimmediatelyupontheEffectiveDate.

2.4OtherCapacity.BBB,atitsoption,mayorder,andAAAshallusecommerciallyreasonableeffortstopromptlyprovide,capacityonroutesnotavailablethroughtheAAANetwork（Off-netCapacity）.AAAshallprovidesuchOff-netCapacityat115%ofthecost（netofdiscount）suchisactuallyobtainedbyAAAfromanon-affiliatedthird-partycarrier,subjecttosuchothertermsandconditionsasapplybetweenAAAandsuchothercarrier.

3.Payment.

3.1InitialIRUFees.InconsiderationfortheIRUgrantedhereunderintheInitialCapacity,BBBshallpayAAA_________dollarsand_________$cents（$,_________）foreachmonthintheTerm,whichamountwillbebilledinadvanceandpaidwithin30daysfromtheinvoicedate（theInitialIRUFees）.AAAmayaddinterestchargestoanyamountsnotpaidwithinsuchtimeatanannualinterestrateof8.0%.IntheeventBBBassignsthisAgreementoranyrightsorobligationshereundertoanypersonorentity,AAAshallhavetheright,initssolediscretion,toelecttoacceleratetheobligationtopaytheInitialIRUFees,exercisablebyAAAwithin60daysafteritreceivesnoticeofsuchassignment.IfAAAelectstoacceleratetheobligationtopaytheInitialIRUFees,BBBandtheassigneeshallbejointlyandseverallyliabletopayanacceleratedIRUFeeequaltothepresentvalueoftheInitialIRUFeepaymentsduefortheremainderoftheTerm（excludinganyoptionalTermextension）,discountedat8%perannum,andshallhavenofurtherobligationtopayInitialIRUFees,andAAAagreestotakeallnecessaryactstoimmediatelyreleasetheSecurityInterestuponreceiptofsuchpayment.

3.2AdditionalIRUFees.InconsiderationforanyIRUtobegrantedhereunderintheAdditionalCapacity,BBBshallpayAAAtheamountscalculatedinaccordancewiththeSectionentitledAdditionalCapacityCost（theAdditionalIRUFees.）

3.3Maintenance.Inconsiderationfortheprovisionofmaint
