SubleaseandAssignment转租合同-
WHEREAS,AAAisthelesseeunderthatcertainLeaseAgreementdatedasof_________,_________,_________(M/D/Y)(theLease)betweenCCCTrustCompanyasOwnerTrusteeandLessorandAAAregardingContinuousSlabCasteratAAACorporation’sFairfieldWorksinFairfield,Alabama;and
WHEREAS,thepartiesintendthatBBBoperatetheFacility.
NOW,THEREFORE,thepartieshereto,inconsiderationofthepremises,thecovenantshereinsetforth,andintendingtobelegallybound,agreeasfollows:
1.AAAherebysubleasestheFacilitytoBBBonthesametermsandconditionssetforthintheLease.BBBshallhave,withrespecttoAAA,alltherights,dutiesandobligationsoftheLesseeundertheLease,andAAAshallhave,withrespecttoBBB,alltherights,dutiesandobligationsofOwnerTrusteeundertheLease.
2.AAAherebyassignsitsrightsandinterestsundertheFacilitiesAgreementandeveryotherOperativeDocumenttoBBB.
3.Notwithstandingtheforegoing,thisSubleaseandAssignmentdoesnotreleaseAAAfromanyofitsresponsibilitiesundertheOperativeDocuments.
4.ThisSubleaseisexpresslysubjectandsubordinatetotheLeaseandLessor’srightthereunder.
5.CapitalizedtermsusedinthisSubleasethatarenototherwisedefinedshallhavethemeaningsgiventothemintheLease.
WITNESSthedueexecutionhereofasofthedatefirstwritten.

7.02CONDITIONOFPREMISES.SublesseehasinspectedthePremisesandallimprovementslocatedthereon,andhasagreedtoacceptthePremisesinanAS-IScondition,initsconditionexistingasofthedateofthisSubleasesubjecttoallapplicablemunicipal,county,stateandfederallaws,ordinancesandregulationsgoverningandregulatingtheuseandoccupancyofthePremises,andacceptstheSubleasesubjecttheretoandtoallmattersdisclosedthereby,withoutwarrantyorrepresentationconcerningthesame.SublessorherebyacknowledgesthatthePremisesaretobedeliveredtoSublesseeatthecommencementofthetermoftheSublease,unoccupied,andinabroom-sweptcondition.SublesseeacknowledgesthatthetakingofpossessionofthePremisesbySublesseewillbeconclusiveevidencethatthePremiseswereingoodandsatisfactoryconditionatthetimepossessionwastaken.Sublesseespecificallyagreesthat,exceptasspecificallyprovidedbylawsinforceasofthedatehereof,SublessorhasnodutytomakeanydisclosuresconcerningtheconditionoftheBuildingsorPremisesand/orthefitnessoftheBuildingsorPremisesforSublessee’sintendeduse.
7.03ASSIGNMENT,SUBLETTINGANDENCUMBRANCE.Sublesseeshallnotvoluntarilyorinvoluntarilyassign,sublet,mortgageorotherwiseencumberalloranyportionofitsinterestinthisSubleaseorinthePremises,withoutobtainingthepriorwrittenconsentofSublessorthereto,whichSublessormaygrantorwithholdinSublessor’sreasonablediscretion.Anyassignment,subletting,mortgageorotherencumbranceattemptedbySublesseetowhichSublessorhasnotconsentedinwritingshallbenullandvoidandofnoeffect.
7.04ALTERATIONS.
(a)AlterationsandImprovementsBySublessee.Sublesseeshallnotmakeanyalterations,additionsorimprovementstothePremises(collectivelyAlterations)withoutobtainingthepriorwrittenconsentofSublessorthereto,whichSublessormaygrantorwithhold,andtowhichSublessormayimposeanyconditionsinSublessor’sreasonablediscretion.AllsuchAlterationsshallbeconstructedonlyafternecessarypermits,licensesandapprovalshavebeenobtainedfromappropriategovernmentalagenciesandallimprovementsshallbeconstructedastoconformtoallrelevantcodes,regulations,andordinances.AllsuchAlterationsshallbemadeatSublessee’ssolecostandshallbediligentlyprosecutedtocompletion.AllsuchalterationsshallbesubjecttoallofthetermsandconditionsimposedundertheMasterLease.InadditiontoconsentoftheSublessor,consentoftheMasterLessor,ifrequiredundertheMasterleaseshallalsobeapreconditiontoSublesseecommencinganyimprovementstothePremises.
AnycontractororpersonmakingsuchAlterationsshallfirstbeapprovedinwritingbySublessor.UpontheexpirationorearlierterminationofthisSublease,SublessormayelecttohaveSublesseeeither(i)surrenderwiththePremisesanyorallofsuchAlterationsasSublessorshalldetermine(exceptpersonalpropertySublessee’sequipmentandtradefixturesasprovidedinSubsection(b)below),inwhichcase,suchAlterationsshallbecomethepropertyofSublessor,or(ii)intheeventMasterLessorrequiresSublessortoremovetheAlterationsundertheMasterLease,SublesseeshallpromptlyremoveanyorallofsuchAlterationsdesignatedbyMasterLessororSublessortoberemoved,inwhichcase,SublesseeshallrepairandrestorethePremisestoitsoriginalconditionasoftheCommencementDate,reasonablewearandtear,casualtyandcondemnationexcepted.Sublesseeshallpermitnomechanic’sorotherlienstoberecordedagainstthePremises.ShouldalienbemadeorfiledagainstthePremisesMasterPremisesorrealpropertyonwhichthePremisesaresituated,Sublesseeatitssolecost,shallbondagainstordischargesaidlienwithin10daysafterSublessor’sorMasterLessor’srequesttodoso.Notwithstandinganythingtothecontraryherein,SublessorshallnotrequireSublesseetoremoveorrestoreanyAlterationsunlessMasterLessorrequiresSublessortoremove,restoreorpaythecostofremovingorrestoringsuchAlterations.
(b)RemovalofPersonalProperty.Allarticlesofpersonalproperty,andallbusinessandtradefixtures,machineryandequipment,cabinetwork,furnitureandmovablepartitions,ifany,ownedorinstalledbySublesseeatitsexpenseinthePremisesshallbeandremainthepropertyofSublesseeandmayberemovedbySublesseeatanytime,providedthatSublessee,atitsexpense,shallrepairanydamagetothePremisescausedbysuchremovalorbytheoriginalinstallation.SublessormayelecttorequireSublesseetoremovealloranypartoftheaforementionedpropertyattheexpirationorsoonerterminationoftheSublease,inwhicheventsuchremovalshallbedoneatSublessee’sexpense,andSublesseeshallatitsownexpenserepairanydamagetothePremisescausedbysuchremovalpriortotheterminationofthisSublease.
(c)AttheendoftheSubleaseTerm,SublesseeshallrestorethePremisesinaccordancewiththeTermsofArticle8oftheMasterLeasetotheconditionrequiredundertheMasterLeaseasiftheSublesseeweretenantundertheMasterLease.
7.05HOLDINGOVER.IfSublesseeholdsoveraftertheexpirationorearlierterminationofthisSublease,withorwithouttheexpressorimpliedconsentofSublessor,thenattheoptionofSublessorSublesseeshallbecomeandbeonlyaholdovertenancyatarentequaltothegreaterof(a)onehundredfiftypercent(150%)oftheRentpayablebySublesseeimmediatelypriortosuchexpirationorterminationor(b)onehundredandfifty(150%)percentoftheFairMarketRental(asdefinedinthemasterlease),proratedonadailybasisandotherwiseupontheterms,covenantsandconditionshereinspecified.Notwithstandinganyprovisiontothecontrarycontainedherein,(i)SublessorexpresslyreservestherighttorequireSublesseetosurrenderpossessionofthePremisesupontheexpirationoftheTermorupontheearlierterminationhereofandtherighttoassertanyremedyatlaworinequitytoevictSublesseeand/orcollectdamagesinconnectionwithanysuchholdingover,and(ii)Sublesseeshallindemnify,defendandholdSublessorharmlessfromandagainstanyandallclaims,demands,actions,losses,damages,obligations,costsandexpenses,including,withoutlimitation,attorneys’feesincurredorsufferedbySublessorbyreasonofSublessee’sfailuretosurrenderthePremisesontheexpirationorearlierterminationofthisSubleaseinaccordancewiththeprovisionsofthisSublease.
8.ENVIRONMENTALMATTERS.
8.01HAZARDOUSMATERIAL.Asusedherein,thetermHazardousMaterialmeansanyhazardous,toxic,explosiveorradioactivesubstance,materialorwastewhichisorbecomesregulatedbyanylocalgovernmentalauthority,theStateof_________(STATE)ortheUnitedStatesGovernment,including,withoutlimitation,anymaterialorsubstancewhichis(i)definedorlistedasahazardouswaste,extremelyhazardouswaste,restrictedhazardouswaste,hazardoussubstance,hazardousmaterial,pollutantorcontaminantunderanyapplicablefederal,stateorlocallaworadministrativecodepromulgatedthereunder,(ii)petroleum,(iii)asbestos,(iv)flammableexplosives,(v)radioactivematerialsor(vi)polychlorinatedbiphenyls.
8.02SUBLESSEE’SUSEOFPREMISES.Sublesseeherebyagrees,represents,covenants,andwarrantsthatneitheritnoritsemployees,agents,contractors,sublessees,assignees,licenseesandinvitees,shallengageinorpermittoexistanywherein,on,underaboveoraboutthePremisesanyHazardousMaterialwithoutSublessor’spriorwrittenconsent.Notwithstandingtheforegoing,Sublesseemay,butinstrictcompliancewithallEnvironmentalLaws,usedeminimusamountsofordinaryandcustomarymaterialssuchasofficesuppliesreasonablyrequiredinthenormalcourseofSublessee’suseofthePremisesforgeneralofficepurposes,solongasSublessee’suseofsuchmaterialsdoesnotexposethePremisesoranyotheradjacentpropertytoanyriskofcontaminationbyaHazardousMaterialorexposetheLandlordtoanyliabilitytherefore.
8.03INDEMNIFICATIONOFSUBLESSOR.Sublesseeshallindemnify,defend,protectandholdSublessoranditspartners,officers,directors,employees,trustees,s
