PartyAshalldeliverthehousetoPartyBbeforeOctober31,2004.Incaseofinabilitytoperformthecontractduetoforcemajeure,doasthefollowing1stway.

PartyB’smakingthepaymentasthefollowing3rdway:
1、One-offpayment.

Article5SettlementofPartyA’sOverdueDeliveryoftheCommercialHouse
IntheeventthatPartyAcannotdeliverthecommercialhouseasdateagreedinArticle3hereinduetoforcemajeure,PartyBisentitledtoclaimforinterestofaccountpaidifoverduewithin30days.TheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedateagreedhereinwhenPartyAshalldeliverthecommercialhousetotheactualdateofdelivery.
Incaseofexceedingtheagreedperiodabove,PartyBisentitledtoinvestigatetheresponsibilityofPartyAforcontractbreachaccordingtothefollowing1stagreement:
1.Continuetoperformthecontract.PartyAshallpayforinterestofaccountpaidtoPartyB.TheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedateagreedhereinwhenPartyAshalldeliverthecommercialhousetotheactualdateofdelivery.Moreover,PartyAshallpayforliquidateddamagestoPartyBat1‰ofthecommercialhousepriceonadailybasis.
2.Terminatethecontract.PartyAshallrefundtheaccountpaidandpaytheinterestthereof.TheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedateagreedhereinwhenPartyAshalldeliverthecommercialhousetotheactualdateofdelivery.Moreover,PartyAshallpayforliquidateddamagestoPartyBat‰ofthecommercialhousepriceonadailybasis.IntheeventthatPartyB’sactuallosswasmorethattheliquidateddamagespaidbyPartyA,PartyAshallalsobeartheresponsibilityofcompensation.

Article6SettlementofPartyB’sOverduePayment
IntheeventthatPartyBcannotmakethepaymentasdateagreedinArticle4herein,PartyAisentitledtoclaimfortheoverdueaccountandtheinterestthereofifoverduewithin30days.TheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedateagreedhereinwhenPartyBshallmakethepaymenttotheactualdateofpayment.
Incaseofexceedingtheagreedperiodabove,PartyAisentitledtoinvestigatetheresponsibilityofPartyBforcontractbreachaccordingtothefollowing3rdagreement:
1.Continuetoperformthecontract.PartyBshallpayforoverdueaccountandtheinterestthereof.TheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedateagreedhereinwhenPartyBshallmakethepaymenttotheactualdateofpayment.Moreover,PartyBshallpayforliquidateddamagestoPartyAat‰ofthecommercialhousepriceonadailybasis.
2.Terminatethecontract.PartyBshallpayforliquidateddamagestoPartyAat‰ofthecommercialhousepriceonadailybasis.
3.IntheeventthatPartyBcannotmakethepaymentasdate,ifoverduewithin50days,PartyAhastherighttorescindthecontractandrefundthepayment.ThelossesoftherestofthepaymentintheprocessofbuyingshallbesolelyshoulderedbyPartyB.Moreover,PartyBshallpayforliquidateddamagestoPartyAat5%ofthecommercialhouseprice.
Article7ConstructionAreaoftheCommercialHouseandSettlementofDiscrepanciesinSalesConstructionArea
TheconstructionareaofcommercialhouseislegallybasedonthearearecordedinHouseOwnershipCertificate.IntheeventthatthediscrepancybetweencommercialhouseconstructionareaandtheareasoldbyPartyAiswithin±3%(inclusive),theunitepriceshallremainunchanged,andthepriceofthecommercialhouseshallberefundedorsupplementedaccordingtothediscrepancybetweenconstructionareaofthehouseandsalesarea.Incaseofareadiscrepancyover±3%,bothpartiesagreeon:
Contractshallcontinuetobeperformed.Theunitpriceremainsunchangedandthepriceofthecommercialhouseshallberefundedorsupplementedaccordingtothediscrepancybetweenpropertyregistrationareaandagreedareaherein.
Article8QualityandWarrantyLiabilityoftheCommercialHouse
ThequalityandequipmentsofthecommercialhousedeliveredbyPartyAshallcomplywiththerelevantnationalregulationsandPartyA’scommitment(SeeAttachmentIII).PartyAshallholdalltheresponsibilityforanyincompliancewiththestate-specifiedstandardsandcommitments.
UndertheconditionofPartyB’snormaluse,PartyAshallperformtheresponsibilityofwarrantyinaccordancewithTianjinResidentialCommercialHouseQualityCertificate.PartyAshallnotholdtheresponsibilityforanydamagescausedbyPartyB’sdismantlingwithoutauthority.
Article9AgreementonCommercialHouseSupportingFacilitiesOperation
Theoperationdateofthefollowingsupportingfacilitiesisagreedonasfollows:
1.Watersupplyavailablewhilelivingin
2.Waterdrainageavailablewhilelivingin
3.Powersupplyavailablewhilelivingin
4.Fuelgas(category)none
5.Heatingthefirstheatingperiodafterlivingin

Incaseofthesupportingfacilitiesabovefailingtooperateasagreeddate,PartyAshalltakeremedialmeasureswithin90daysandcompensatethelossofPartyB;incaseofexceedingtheagreedperiodabove,PartyAshallcompensatethelossandpayfortheliquidateddamagesofeachitemtoPartyBat.1%ofthecommercialhouseprice.
Article10AgreementonChangeofHouseDesign
PartyAshallnotchangethedesignandlayoutofthecommercialhouse(SeeAttachmentIV)withouttheconsentofPartyB.Ifitisreallynecessarytomakechanges,PartyAshallnegotiatewithPartyBwithin30daysfromtheconfirmationdateofdesignchangescheme.
ShouldPartyBagreetochange,bothpartiesshallcometosupplementarycontract.
ShouldPartyBdisagreetochange,orPartyAmakechangeswithoutauthority,PartyBshallbeentitledtoterminatethecontract.Incaseoftermination,PartyAshallrefundtheaccountpaidandpayfortheinterestthereof,andtheinterestshallbecalculatedaslendingrateofbankatthesameperiodfromnextdayofthedatewhenPartyBmakesthepaymenttothedatewhenPartyAreturnstheaccountpaid.Moreover,PartyAshallpayforliquidateddamagestoPartyBat.1%ofthecommercialhouseprice.
Article11HandoveroftheCommercialHouse
Whenconductingthehandoverofcommercialhouse,PartyAshallnotifyPartyBinwritingtohandletheformalitiesofcommercialhousehandover.HeshallalsoprovidetheTianjinResidentialCommercialHouseQualityCertificateandTianjinResidentialCommercialHouseUsageInstructionandhandoverthehousekey.
