1.2.DUTIES.Executiveshalldiligently,andtothebestofhisability,performallsuchdutiesincidenttohispositionsandusehisbesteffortstopromotethebestinterestsoftheCompany.
1.3.TIMETOBEDEVOTEDTOEMPLOYMENT.DuringtheEmploymentTerm,Executiveshalldevotehisfulltimeandenergy
tothebusinessoftheCompanyandshallnotbeengagedinanycompetitivebusinessactivitywithouttheexpresswrittenconsentoftheCompany.ExecutiveherebyrepresentsthatheisnotapartytoanyagreementwhichwouldbeanimpedimenttoenteringintothisEmploymentAgreementandthatheispermittedtoenterintothisEmploymentAgreementandperformhisobligationshereunder.
2.COMPENSATIONANDBENEFITS.
2.1.ANNUALSALARY.InconsiderationofandascompensationfortheservicesagreedtobeperformedbyExecutivehereunder,theCompanyagreestopayExecutivecommencingontheEffective

),payableinaccordancewiththeCompany&

sregularpayrollschedule(BaseSalary),lessapplicablewithholdingsanddeductions.TheBaseSalarywillbesubjecttoincreaseatthesolediscretionoftheBoardofDirectorsoftheCompany.
2.2.PERFORMANCEBONUS.ExecutiveshallbeentitledtobonusesinaccordancewiththeCompanybonusplanforCompanyofficerstobeestablishedandimplementedbytheBoardofDirectorsoftheCompanypayableinaccordancewiththeCompany&
sstandardpolicy,providedthatExecutiveshallbeentitledtoaguaranteedminimumannualbonusof$ (theGuaranteedBonus)duringtheEmploymentTerm.The
CompanywilldeductandwithholdfromanybonuspayabletoExecutivehereunderanyandallapplicableFederal,stateandlocalincomeandemploymentwithholdingtaxesandanyotheramountsrequiredtobedeductedorwithheldbytheCompanyunderapplicablestatuteorregulation.
2.3.PARTICIPATIONINBENEFITPLANS.DuringtheEmploymentTerm,Executiveshallbeentitledtoparticipateinanypension,groupinsurance,Section401(k),vision,dental,medicalhospitalization,annualphysical,disabilityorothersimilarbenefitplan,totheextentpermittedbylaw,thatmayfromtimetotimebeadoptedbytheBoardofDirectorsoftheCompany,thatisgenerallyavailabletotheotherexecutiveofficersoftheCompany.TheCompanyreservestherighttoamend,modifyorterminateanyemployeebenefitsatanytimeforanyreason.UntilsuchtimeastheCompany&
smedicalplansareinplace,theCompanyshallreimburseExecutive&
scostincontinuinghisexistingmedicalinsurancecoverageunderCOBRA.
2.4.REIMBURSEMENTOFEXPENSES;
MOVINGEXPENSES.TheCompanyshallreimburseExecutiveforallreasonablebusinessexpensesincurredbyExecutiveonbehalfoftheCompany
duringtheEmploymentTerm,providedthat:
(i)suchreasonableexpensesareordinaryandnecessarybusinessexpensesincurredon
behalfoftheCompany,and(ii)ExecutiveprovidestheCompanywithitemizedaccounts,receiptsandotherdocumentationforsuchexpensesasarereasonablyrequiredbytheCompany.TheCompanyshallalsoreimburseExecutiveforrelocationexpensesincurredwithinsixmonthsofthedatehereofinconnectionwithExecutive&
srelocationtotheNewYorkCityarea(includingtherealestatecommissiononthesaleofExecutive&
scurrenthome).
2.5.VACATION.DuringtheEmploymentTerm,Executivewillbeentitledtofive(5)weeksofpaidvacationperannum.
3.EMPLOYMENTTERM.
3.1.EMPLOYMENTTERM.TheEmploymentTermmeanstheperiodcommencingontheclosingoftheCompany&
sfirstequityfinancingwhichyieldsproceedstotheCompanyinexcessof
$5million(theEffectiveDate)andterminatingontheearlieroffive
(5)yearsfromtheEffectiveDateorassetforthinSection4.1.
3.2.NOTICEOFRENEWAL.Atleastsixty(60)dayspriortothenaturalexpirationoftheinitialEmploymentTermofthisEmploymentAgreementandsixty(60)dayspriortoeachone-yearanniversarythereafter,ifapplicable,theCompanyshallgiveExecutivewrittennoticeofwhethertheCompanywillbeseekingaone-yearextensionofExecutive&
sservicesbeyondtheinitial
EmploymentTermorsubsequentone-yearperiod,ifapplicable.Unlesssuchnoticeindicatesthattherewillbenoextension,thetermofthisEmploymentAgreementshallbeautomaticallyrenewedforsuccessiveone-yearperiods.However,Executive&
semploymentwithEmployerwillcontinueunlessterminatedbyExecutiveortheCompanyassetforthinSection4.1.
4.TERMINATIONOFEMPLOYMENT.
4.1.METHODOFTERMINATION.Executive&
semploymentpursuanttothisEmploymentAgreementandtheEmploymentTermprovidedforhereinshallterminateuponthefirstofthefollowingtooccur(eitherwiththeCompany,ortheCompanyoritssuccessors):
A.Executive&
sdeath;
or
B.DatethatwrittennoticeisdeemedgivenormadebytheCompanytoExecutivethatasaresultofanyphysicalormentalinjuryordisability,heisunabletoperformtheessentialfunctionsofhisjob,withorwithoutreasonableaccommodation.SuchnoticemaybeissuedwhentheBoardofDirectorsoftheCompanyhasreasonablydeterminedthatExecutivehasbecomeunabletoperformsubstantiallyhisservicesanddutieshereunderwithorwithoutreasonableaccommodationbecauseofanyphysicalormentalinjuryordisability,andthatitisreasonablylikelythathe
willnotbeabletoresumesubstantiallyperforminghisservicesanddutiesonsubstantiallythetermsandconditionsassetforthinthisEmploymentAgreement;
C.DatethatwrittennoticeisdeemedgivenormadebytheCompanytoExecutiveofterminationforCause(forpurposesofthisEmploymentAgreement,CauseshallhavethemeaningsetforthinthatcertainRestrictedStockPurchaseAgreementdatedasof
, , (M/D/Y)(theRestrictedStockPurchaseAgreement)betweentheCompanyandExecutive);
D.DatethatwrittennoticeisdeemedgivenormadebyExecutiveofhisvoluntarydepartureorresignationasanemployeeoftheCompany;
E.DatethatwrittennoticeisdeemedgivenormadebytheCompanytoExecutiveofExecutive&
sterminationwithoutCause.
NothinghereinaltersExecutive&
sandtheCompany&
sseparaterighttoterminatetheemploymentrelationshipatanytime,foranyreason,withorwithoutCause.
4.2.NOTICEOFTERMINATION.AnyterminationofExecutive&
semploymenteitherbytheCompanyorbyExecutiveshallbecommunicatedbywrittenNoticeofTerminationtotheotherpartyheretoinaccordancewithSection7.1hereof.
4.3.DATEOFTERMINATION.DateofTerminationshallmeanthedatespecifiedintheNoticeofTermination.
4.4.EFFECTOFTERMINATIONWITHOUTCAUSE.IntheeventtheCompanyterminatesExecutive&
semploymentwiththeCompanywithoutCause,ExecutiveshallbeentitledtohisthenexistingBaseSalaryandtheGuaranteedBonusfortheentireperiodremainingoftheEmploymentTerm,payableinaccordancewithstandardCompanypolicy.ExecutivewillreceiveanimmediatelumpsumpaymentofallunpaidandaccruedvacationuptotheDateofTermination.
4.5.EFFECTOFTERMINATIONFOROTHEREVENTS.UpontheterminationofExecutiveforanyreasonotherthanassetforthinSection4.4hereof,ExecutivewillnotbeentitledtoanyadditionalcompensationorotherrightsorbenefitsfromtheCompany,and,asaresult,theCompanyshallbeobligatedtopayExecutiveonlythatportionofhisthenexistingBaseSalarythatExecutivehasearnedpriortotheDateofTerminationofExecutive&
semploymentwiththeCompany.ExecutivewillalsoreceiveanimmediatelumppaymentforallunpaidandaccruedvacationuptotheDateofTermination.
4.6.RESIGNATIONASANOFFICERANDDIRECTOR.IntheeventExecutive&
semploymentwiththeCompanyterminatesforany
reason,Executiveagreestoimmediatelyresignasanofficerand/ordirectoroftheCompany.
5.CONFIDENTIALINFORMATIONANDCOVENANTNOTTOCOMPETE.
5.1.ExecutiveunderstandsthattheCompanyanditsaffiliatespossessProprietaryInformation(asdefinedbelow)whichisimportanttoitsbusinessandthatthisEmploymentAgreementcreatesarelationshipofconfidenceandtrustbetweenExecutiveandtheCompanyanditsaffiliateswithregardtoProprietaryInformation.NothinginthisSection5shallbedeemedmodifiedorterminatedintheeventoftheterminationorexpirationofthisEmploymentAgreement.
5.2.ForpurposesofthisEmploymentAgreement,ProprietaryInformationisinformationthatwasorwillbedeveloped,created,ordiscoveredbyoronbehalfoftheCompanyanditsaffiliatesandpredecessors,orisdeveloped,createdordiscoveredbyExecutivewhileperformingservicesunderthisEmploymentAgreement,orwhichbecameorwillbecomeknownby,orwasorisconveyedtotheCompanyanditsaffiliateswhichhascommercialvalueintheCompany&
sanditsaffiliates&
