CONSIDERINGthatthedevelopmentofinternationaltradeonthebasisofequalityandmutualbenefitisanimportantelementinpromotingfriendlyrelationsamongStates,

BEINGOFTHEOPINIONthattheadoptionofuniformruleswhichgoverncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,economicandlegalsystemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethe
developmentofinternationaltrade,

(1)ThisConventionappliestocontractsofsaleofgoods
betweenpartieswhoseplacesofbusinessareindifferentStates:

(a)whentheStatesareContractingStates;or

(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.

(2)ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanydealingsbetween,orfrominformationdisclosedby,thepartiesatanytimebeforeorattheconclusionofthe
contract.

(3)NeitherthenationalityofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisConvention.

ThisConventiondoesnotapplytosales:

(a)ofgoodsboughtforpersonal,familyorhouseholduse,unlesstheseller,atanytimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysuchuse;

(b)byauction;

(c)onexecutionorotherwisebyauthorityoflaw;

(d)ofstocks,shares,investmentsecurities,negotiableinstrumentsormoney;

(e)ofships,vessels,hovercraftoraircraft;

(f)ofelectricity.

(1)Contractsforthesupplyofgoodstobemanufacturedorproducedaretobeconsideredsalesunlessthepartywhoordersthegoodsundertakestosupplyasubstantialpartofthematerialsnecessaryforsuchmanufactureor
production.

(2)ThisConventiondoesnotapplytocontractsinwhich
thepreponderantpartoftheobligationsofthepartywhofurnishesthegoodsconsistsinthesupplyoflabourorotherservices.

ThisConventiongovernsonlytheformationofthe
contractofsaleandtherightsandobligationsofthesellerandthebuyerarisingfromsuchacontract.Inparticular,exceptasotherwiseexpresslyprovidedinthisConvention,itisnotconcernedwith:

(a)thevalidityofthecontractorofanyofitsprovisionsorofanyusage;

(b)theeffectwhichthecontractmayhaveonthepropertyinthegoodssold.

ThisConventiondoesnotapplytotheliabilityofthesellerfordeathorpersonalinjurycausedbythegoodsto
anyperson.

(1)IntheinterpretationofthisConvention,regardistobehadtoitsinternationalcharacterandtotheneedtopromoteuniformityinitsapplicationandtheobservanceofgoodfaithininternationaltrade.

(2)Questionsconcerningmattersgovernedbythis
Conventionwhicharenotexpresslysettledinitaretobesettledinconformitywiththegeneralprinciplesonwhichitisbasedor,intheabsenceofsuchprinciples,inconformitywiththelawapplicablebyvirtueoftherulesofprivateinternationallaw.

(1)ForthepurposesofthisConventionstatementsmadebyandotherconductofapartyaretobeinterpretedaccordingtohisintentwheretheotherpartykneworcouldnothavebeenunawarewhatthatintentwas.

(2)Iftheprecedingparagraphisnotapplicable,statementsmadebyandotherconductofapartyaretobeinterpretedaccordingtotheunderstandingthatareasonablepersonofthesamekindastheotherpartywouldhavehadinthesamecircumstances.

(3)Indeterminingtheintentofapartyortheunderstandingareasonablepersonwouldhavehad,dueconsiderationistobegiventoallrelevantcircumstancesofthecaseincludingthenegotiations,anypracticeswhichthepartieshaveestablishedbetweenthemselves,usages
andanysubsequentconductoftheparties.

(1)Thepartiesareboundbyanyusagetowhichtheyhaveagreedandbyanypracticeswhichtheyhaveestablishedbetweenthemselves.

(2)Thepartiesareconsidered,unlessotherwiseagreed,tohaveimpliedlymadeapplicabletotheircontractoritsformationausageofwhichthepartieskneworoughttohaveknownandwhichininternationaltradeiswidelyknownto,andregularlyobservedby,partiestocontracts
ofthetypeinvolvedintheparticulartradeconcerned.

ForthepurposesofthisConvention:

(a)ifapartyhasmorethanoneplaceofbusiness,theplaceofbusinessisthatwhichhastheclosestrelationshiptothecontractanditsperformance,havingregardtothecircumstancesknowntoorcontemplatedbythepartiesatanytimebeforeorattheconclusionofthecontract;

(b)ifapartydoesnothaveaplaceofbusiness,referenceistobemadetohishabitualresidence.

Acontractofsaleneednotbeconcludedinorevidencedbywritingandisnotsubjecttoanyotherrequirementastoform.Itmaybeprovedbyanymeans,includingwitnesses.

modificationorterminationbyagreementoranyoffer,acceptanceorotherindicationofintentiontobemadeinanyformotherthaninwritingdoesnotapplywhereanypartyhashisplaceofbusinessinaContractingStatewhichhasmadeadeclarationunderarticle96ofthisConvention.Thepartiesmaynotderogatefromorvarytheeffectorthisarticle.

offerortobeboundincaseofacceptance.Aproposalissufficientlydefiniteifitindicatesthegoodsandexpresslyorimplicitlyfixesormakesprovisionfordeterminingthequantityandtheprice.

(2)Aproposalotherthanoneaddressedtooneormore
specificpersonsistobeconsideredmerelyasaninvitationtomakeoffers,unlessthecontraryisclearlyindicatedbythepersonmakingtheproposal.

(2)Anacceptanceofanofferbecomeseffectiveatthemomenttheindicationofassentreachestheofferor.Anacceptanceisnoteffectiveiftheindicationofassentdoesnotreachtheofferorwithinthetimehehasfixedor,ifnotimeisfixed,withinareasonabletime,dueaccountbeingtakenofthecircumstancesofthetransaction,includingtherapidityofthemeansofcommunicationemployedby
theofferor.Anoraloffermustbeacceptedimmediatelyunlessthecircumstancesindicateotherwise.

(3)However,if,byvirtueoftheofferorasaresultofpracticeswhichthepartieshaveestablishedbetweenthemselvesorofusage,theoffereemayindicateassent
byperforminganact,suchasonerelatingtothedispatchofthegoodsorpaymentoftheprice,withoutnoticetotheofferor,theacceptanceiseffectiveatthemomenttheactisperformed,providedthattheactisperformedwithin
theperiodoftimelaiddownintheprecedingparagraph.

(1)Areplytoanofferwhichpurportstobeanacceptancebutcontainsadditions,limitationsorothermodificationsisarejectionoftheofferandconstitutesacounter-offer.
